Terms and conditions

The following terms and conditions (‘‘Terms & Conditions’’) form a binding agreement between Edusystems OÜ, a company registered in Estonia with its registered office and primary place of business at 43 Tartu mnt, Tallinn, Estonia 10128 under the registration number: 10668735 (‘‘Edusystems OÜ’’, “we”, “our” or “us”), and the user (‘‘you’’ or ‘your’’).  

The website located at edusystems.ee (the ‘‘Website’’), the Edusystems OÜ mobile application (the ‘‘App’’), and the “Forex Royale” , “Cryptomania” mobile applications are the property of Edusystems OÜ. 

Edusystems OÜ offers its services in accordance with these Terms & Conditions. Our services include access to our software and all other information available on our mobile apps, as well as access to all related content and any communications between you and us. 

In order to download the App and access its related services, you must carefully read, and agree to these Terms & Conditions and our Privacy Policy which can be found on our Website and on the App sign up page. We reserve the right to change and update our Privacy Policy and Terms & Conditions at any given time. In the event of any changes, you will notified by email and no further notification will be required in order for the new version of our Terms & Conditions and Privacy Policy to be binding upon you. For clarity, and without limiting the generality of the foregoing, by downloading the App or by using any of our services, you are accepting our most updated Terms & Conditions and Privacy Policy.

Products & Services 

By downloading and signing up for the App or using any of our services, you acknowledge and agree that:

  1. You will input a valid email address for feedback purposes. 
  2. All of our educational products are simply intended to assist you with self-learning and do not guarantee trading success of any kind.
  3. Edusystems OÜ shall not be responsible for any trading failures.
  4. You are responsible for carefully reading all financial and educational disclaimers before signing up with a recommended broker.

Registration Restrictions

By downloading and signing up for the App or using any of our services, you acknowledge and agree that:

  1. You are not under the age of 15 years old. 
  2. If you are 15 years or older, but under the age of 18, you have received permission to register and access our services from a parent or guardian who has read and understood these Terms & Conditions as well as our Privacy Policy. 
  3. The information you provide in the sign-up process, including email addresses and any other details, is accurate, updated, and belongs to you.
  4. You will not post any offensive content on your profile, including but not limited to, offensive pictures and usernames.
  5. We reserve the right to block or delete users based on any user content deemed to be offensive, in the sole opinion of Edusystems OÜ. 
  6. You have read, understood, and agree to our Privacy Policy. 

Investment Strategy & Content Disclaimer

Edusystems OÜ is a fantasy game that uses real-world investments and delayed asset prices to provide users with relevant information to maintain dummy portfolios and compete with other users in competitions. By downloading and signing up for the App or using any of our services, you acknowledge and agree that:

  1. The App is not meant to provide financial advice or guidance on real money investments and Edusystems OÜ will not, under any circumstances, be responsible for any investment or trading decision you make on any platform whatsoever.
  2. The data, prices, insights, and other related information we provide is only meant to assist you in performing better at competitions within the App and is not meant to be used or construed as investment guidance or advice.
  3. Edusystems OÜ aims to provide relevant and updated market content, however we  shall not be responsible for any mistakes or inaccurate information in our content, including but not limited to, the sector, instrument, or market information provided on the App. Without limiting the generality of the foregoing, this includes prices, settlement dates, price charts, insights, and updates.
  4. Edusystems OÜ shall not be responsible for any mistakes or inaccuracies in any third- party content linked to the App. Such content may include, but is not limited to, financial news, company information and updates, instrument prices, and any other external content linked to the App. 
  5. Edusystems OÜ does not offer financial incentives of any kind to its users and is not meant to be used as a betting or gambling exchange.

Games, Badges & Rewards

Each and every user of the App starts with the same initial amount of play money, with which they can gain in-game profit, bonuses and achievements by investing in assets. The general rules and tournament activity rules can be viewed in the FAQ section within the App. By downloading and signing up for the App or using any of our services,  you acknowledge and agree that:

  1. Edusystems OÜ shall not responsible for any psychological or mental distress you may experience due to the competitive nature of the App, including, but not limited to, addiction, emotional stress, or physical pain.
  2. Edusystems OÜ aims to provide flawless play. However, we shall not be responsible for technical problems of any kind arising during competitions including, but not limited to, problems relating to the instruments, sectors, results, informational prizes, or league structure. For clarity, Edusystems OÜ shall not be responsible for technical problems of any nature whatsoever and cannot be liable for any claims based on loss of play money. 
  3. Edusystems OÜ reserves the right to change the badge and game structure at any time, without notice.
  4. Edusystems OÜ shall not be responsible for solving user disputes of any kind regarding any part of the tournaments, including, but not limited to, disputes regarding results, buying and selling of instruments, loss of data, and miscalculated portfolios.
  5. Edusystems OÜ sources market data from external vendors and shall not be responsible for the consequences of delayed or end-of-day data and its effect on the buying and selling of instruments and the overall tournament results.
  6. Edusystems OÜ reserves the right to cancel or modify any tournament at any time.
  7. Edusystems OÜ reserves the right to withhold any redeemable rewards from any user pending an internal review of fair play.
  8. Edusystems OÜ reserves the right to change, edit, discontinue, or remove any rewards found in the Edusystems OÜ shop.

Market Data, Insights & Updates

Edusystems OÜ offers users a platform to maintain portfolios and compete with other users. Each tournament has a market section with a broad range of instruments available for selection. By downloading and signing up for the App or using any of our services, you acknowledge and agree that:

  1. Edusystems OÜ reserves the right to add or remove any instrument to or from any tournament.
  2. Edusystems OÜ aims to provide a flawless data stream. However, we shall not be responsible for any errors in instrument prices, including but not limited to, zero prices, no prices, historical price charts, and erroneous dates.
  3. Edusystems OÜ shall not be responsible for erroneous calculations of short-term trends and volatilities provided for each instrument within the market section of the App.
  4. Edusystems OÜ aims to provide correct and updated content. However, we shall not be responsible for incorrect insights and updates for instruments, including, but not limited to, incorrect names, headquarters, holdings, sectors, markets, indices, currencies, trivia, brands, components, and products.
  5. Edusystems OÜ shall not be responsible for erroneous updates and inaccurate third- party content linked to the App in the latest updates section or in the informational prizes section. 
  6. Edusystems OÜ’s content and information are for the sole purpose of competing within the App and we shall not be responsible for any investment or trading actions you decide to make, within the application or elsewhere.

User Rights and Restrictions 

Edusystems OÜ hereby grants you a non-exclusive, worldwide license to use the App and related services at our sole discretion (‘‘User License’’). By downloading and signing up for the App or using any of our services, you acknowledge and agree that:

  1. All intellectual property rights related to the App or Website are owned by Edusystems OÜ and you shall not infringe them in any way. This includes, but is not limited to, all software, systems, servers, copyright and brand materials.
  2. The User License can be terminated, replaced, amended, or blocked at any time, without any specific reason and at our sole discretion. 
  3. The User License is for personal use only and cannot be assigned, licensed, transferred or replaced. If, in Edusystems OÜ’s sole opinion, you are found to be in breach of these Terms & Conditions or of our Privacy Policy, the User License will be automatically terminated without any requirement of notice to you.  
  4. You may not amend, copy or translate any part of the App or Website. 
  5. You agree to protect our IP rights against third parties, which includes reasonably cooperating with us should we need your assistance with an IP related dispute.
  6. You shall not redistribute any information or data available on the App. 
  7. You shall not use any of Edusystems OÜ’s services in relation with unlawful activities.
  8. Edusystems OÜ may transfer its rights and obligations hereunder to any third-party without notifying you and without your prior consent. 
  9. We do not guarantee the constant availability of our services and may choose to amend or discontinue any or all of our services at any time.
  10. You can choose to discontinue using our services by simply removing the Edusystems OÜ software from your device.
  11. To ensure an enjoyable experience for everybody, you must behave respectfully and appropriately while using our Apps and related services. This includes, without limitation, that you are not allowed to use nicknames, slogans, logos, descriptions, etc., or disseminate other content that is unlawful, sexually related, misleading, misrepresentative, or promotes hate speech, contains obscene language, derogatory, offensive remarks, or that degrades human dignity, or encourages forceful governmental overthrow. 
  12. You must not share spam, use offensive language, promote discrimination, or spread hate speech. 
  13. Edusystems OÜ reserves the right to terminate your User License, delete or suspend your Account, or impose any other sanction for violating any of the restrictions.

Google Play Rules and Limitations

By downloading and signing up for the App or using any of our services, you acknowledge and agree that:

  1. You are solely responsible for reading, understanding, and adhering to the terms and conditions of your device’s Google Play.
  2. You are solely responsible for any costs, registration details, and credentials required by Google.
  3. Google shall not be responsible for the availability, maintenance, or functioning of the App.  

Indemnity, Waiver, Disclaimer and Liability

By downloading and signing up for the App or using any of our services, you acknowledge and agree that:

  1. You choose to use all of our services at your own risk and agree to defend, indemnify, save and hold Edusystems OÜ harmless from any and all demand, liabilities, costs, losses and claims, including but not limited to fees for legal representation in the case of any action against us or our associates, that may arise directly or indirectly from your use of our services. Without limiting the generality of the foregoing, you shall keep Edusystems OÜ indemnified against all losses, expenses or damages that may be suffered by us due to any default or breach by you of these Terms & Conditions or our Privacy Policy. 
  2. TO THE FULLEST EXTENT PERMITTED BY LAW, EDUSYSTEMS OÜ HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION FOR INFRINGEMENT AND/OR NON-SATISFACTORY QUALITY, MERCHANTABILITY AND/OR FITNESS FOR ANY PURPOSE. EDUSYSTEMS OÜ WILL NOT BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, INTEREST, GOODWILL, LOSS OR CORRUPTION OF DATA, WHETHER IN CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. IN ANY CASE, AND WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, EDUSYSTEMS OÜ’S AGGREGATE LIABILITY TO YOU IS LIMITED TO THE AMOUNTS PAID OR PAYABLE TO US FOR THE SERVICES USED.  
  3. No waiver by Edusystems OÜ of any breach of these Terms & Conditions or of our Privacy Policy by you shall be considered as a waiver of any subsequent breach. Furthermore, no failure or delay by us in exercising any right, power or privilege shall operate as a waiver of, nor shall any single or partial exercise of any such right, power or privilege preclude any other or further exercise of or the exercise of any other right, power or privilege. 
  4. We provide our Website and App and the contents thereof on an “as in” basis and make no warranties with respect to their contents, or fitness of services offered for a particular purpose. We cannot guarantee the functionality or operations of our Website and App or that they will be uninterrupted or error free, nor does do we warrant that the contents are current, accurate or complete. You agree and accept that we are not liable for any bugs, performance issues or failure of any kind related to our Website or App.  

General Conditions 

By downloading and signing up for the App or using any of our services, you acknowledge and agree that: 

  1. Edusystems OÜ shall not be liable for any delay in performing, or any failure to perform, any of our obligations in relation to our services, if the delay or failure is due to any cause beyond our control. Without limiting the generality of the foregoing, the following shall be regarded as causes beyond Edusystems OÜ’s control: act of God, explosion, flood, tempest, fire or accident; war or threat of war, sabotage, insurrection, civil disturbance or requisition; acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority; import or export regulations or embargoes; strikes, lockouts, or other industrial actions or trade disputes. 
  2. If any provision of these Terms & Conditions or of our Privacy Policy is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms & Conditions and of our Privacy Policy and the remainder of the provision in question shall remain fully enforceable.
  3. The headings in these Terms & Conditions and in our Privacy Policy are for convenience only and shall not affect interpretation.   
  4. Any and all disputes related to these Terms & Conditions or our Privacy Policy shall be governed in accordance with Estonian law and litigated before a court located in Tallinn, Estonia.
